1. Agreement to Terms

Welcome to ParkUp! These Terms of Use ("Terms") govern your use of the ParkUp mobile application and website ("Service") operated by H2Q trading LLC ("ParkUp", "we", "us", or "our").

By accessing and using our Service, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ParkUp is a digital platform that connects parking space owners ("Hosts") with individuals seeking parking spaces ("Users"). Our Service facilitates:

• Listing and discovering parking spaces
• Booking and payment processing
• Communication between Hosts and Users
• Location services and navigation
• User reviews and ratings

3. User Accounts and Responsibilities

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Eligibility

You must be at least 18 years old to use our Service. By using ParkUp, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

4. Parking Space Listings and Bookings

4.1 Host Responsibilities

As a Host, you represent that you have the legal right to offer the parking space and that all information provided is accurate. You agree to:

• Provide accurate descriptions and availability
• Honor confirmed bookings
• Maintain safe and accessible parking spaces
• Comply with local laws and regulations

4.2 User Responsibilities

As a User, you agree to:

• Use parking spaces as agreed
• Respect the Host's property and rules
• Pay all fees promptly
• Report any issues through the app

5. Payment Terms and Pricing

5.1 Service Fees Structure

ParkUp charges service fees to facilitate the platform and ensure quality service. Our transparent fee structure includes:

• User Service Fee: 3-5% of the booking total (displayed before booking confirmation)
• Host Service Fee: 3% of the booking total (deducted from host earnings)
• Payment Processing Fee: 2.9% + $0.30 AUD per transaction
• Cancellation Fee: $2.50 AUD (applied to user-initiated cancellations within 24 hours)

5.2 Payment Methods and Currency

We accept the following payment methods:

• Credit and Debit Cards (Visa, Mastercard, American Express)
• PayPal
• Apple Pay and Google Pay
• Bank Transfer (for Australian bank accounts)

All transactions are processed in Australian Dollars (AUD). International users may see conversions in their local currency for reference, but charges will be processed in AUD.

5.3 Pricing Transparency

All fees and charges are clearly displayed before you complete any booking:

• Parking space hourly/daily rate
• Total parking cost for your selected duration
• ParkUp service fee
• Payment processing fee
• Total amount to be charged
• Applicable taxes (GST where required)

5.4 Billing and Payment Terms

By using our Service, you agree to:

• Pay all applicable fees and charges as displayed
• Provide valid and current payment information
• Accept responsibility for all charges on your account
• Pay charges immediately upon booking confirmation
• Update payment information if it expires or changes

5.5 Refunds and Cancellations

Refund eligibility depends on the cancellation policy of the specific parking space and timing of cancellation. Please refer to our Cancellation Policy for detailed information about:

• Refund timeframes and amounts
• Service fee refund conditions
• Processing times for different payment methods
• Special circumstances for full refunds

All prices displayed include applicable Australian taxes (GST) where required. International users may be subject to additional taxes based on their local tax laws.

6. Prohibited Uses

You may not use our Service for any unlawful purpose or to solicit others to perform unlawful acts. You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm other users
• Transmit viruses or malicious code
• Interfere with the Service's operation
• Use the Service for commercial purposes without authorization
• Create false or misleading listings

7. Liability and Insurance

IMPORTANT: ParkUp does not provide insurance coverage for vehicles or property. Users and Hosts are responsible for obtaining appropriate insurance coverage.

ParkUp acts solely as a platform connecting Users and Hosts. We are not responsible for:

• Damage to vehicles or property
• Theft or vandalism
• Disputes between Users and Hosts
• The condition or safety of parking spaces

To the maximum extent permitted by law, ParkUp's total liability to you for any damages is limited to the amount paid to us in the 12 months preceding the incident.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by ParkUp Pty Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of our content without explicit written permission.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

11. Governing Law

These Terms shall be interpreted and governed by the laws of Australia. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of Australia.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
